You represent that you are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater. If you are accessing the Network on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

The Platform is operated under the Whispers brand ("Whispers," "Follow Whispers," "Following Whispers," "we," "us," or "the Operator"), a property of LastMile Innovations Inc. The Platform provides educational, informational, and entertainment content related to personal development, systems thinking, ancestral calibration, and consciousness exploration. Our services include, but are not limited to:

• Transmissions — Podcast episodes and audio content
• Intelligence Reports — Premium written analysis and deep-dive content

Certain features of the Network require account registration. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Promptly update your account information as needed
• Accept responsibility for all activities that occur under your account

Recurring Billing: Paid subscriptions (such as "The Architect" tier) are billed on a recurring basis according to the billing cycle selected at purchase (monthly or annually). By subscribing, you authorize us to charge your payment method automatically for each billing period until you cancel.

Payment Processing: All payments are processed securely through Stripe, Inc. We do not store your complete payment card details on our servers. By providing payment information, you also agree to Stripe's terms of service.

Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that period concludes.

Refunds: EXCEPT AS REQUIRED BY APPLICABLE LAW, PAYMENTS ARE NON-REFUNDABLE AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED PERIODS. We may consider refund requests on a case-by-case basis within 14 days of the initial purchase if you have not substantially accessed the premium content. Price Changes: We reserve the right to modify subscription pricing. Existing subscribers will be notified at least 30 days before any price increase takes effect. Continued use after the price change constitutes acceptance of the new pricing.

One-time purchases of digital products—including Intelligence Reports, toolkits, guides, and other downloadable content—are non-refundable once delivery has occurred. Digital delivery is considered complete when:

• The content becomes accessible in your account dashboard, or
• A download link is provided via email, or
• You gain access to the protected content area

EU/UK Right of Withdrawal Waiver: If you are a consumer located in the European Union or United Kingdom, you have a statutory right to withdraw from this contract within 14 days. HOWEVER, by purchasing digital content and gaining immediate access, you expressly consent to the immediate performance of the contract and acknowledge that you thereby lose your right of withdrawal.

In cases of technical issues preventing access, duplicate charges, or demonstrable non-delivery, please contact us within 7 days for resolution.

All content on the Network—including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, underlying code, and software—is the exclusive property of Whispers or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Network for personal, non-commercial purposes. This license does not include the right to:

• Reproduce, distribute, or publicly display any content without express written permission
• Modify, adapt, translate, reverse engineer, or create derivative works
• Use automated systems (bots, scrapers) to access or extract content
• Use the Content to train, fine-tune, or generate output from any Artificial Intelligence or Machine Learning models
• Remove or alter any copyright, trademark, or proprietary notices
• Resell, sublicense, or commercially exploit any content
• Share your account credentials with third parties

DMCA Compliance: We respect the intellectual property rights of others. If you believe content on our Platform infringes your copyright, please submit a notice to [email protected] containing: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good faith belief, and (5) a statement of accuracy under penalty of perjury.

You agree to use the Network only for lawful purposes and in a manner consistent with these Terms. You shall not:

• Violate any applicable local, state, national, or international law or regulation
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Harass, abuse, threaten, or incite violence against any individual or group
• Transmit any malware, viruses, or other malicious code
• Attempt to gain unauthorized access to any portion of the Network or its systems
• Interfere with the proper working of the Network or impose unreasonable load on infrastructure
• Share, redistribute, or publicly post premium content beyond your personal use
• Use the Network for any commercial purpose without our express written consent

Violation of these conduct standards may result in immediate termination of your account and access, without refund.

You agree to indemnify, defend, and hold harmless Whispers, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Network
• Your violation of any rights of a third party
• Any content you submit, post, or transmit through the Network

Informal Resolution: Before initiating formal dispute proceedings, you agree to first contact us at [email protected] and attempt to resolve any dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Network shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Montana, USA, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND WHISPERS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the Network with a new effective date, and where appropriate, by email notification to registered users.

Your continued use of the Network following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must discontinue your use of the Network.

We encourage you to periodically review these Terms to stay informed of any updates.

We may, in our sole discretion, suspend or terminate your access to all or any part of the Network at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, but are not limited to:

• Conduct harmful to other users or third parties
• Conduct harmful to us, our affiliates, or our business interests
• Engagement in fraudulent or illegal activities

Upon termination, your right to use the Network will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms and any dispute arising out of or related to them or the Network shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

To the extent that any lawsuit or court proceeding is permitted hereunder, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for the purpose of litigating all such claims or disputes.

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Whispers concerning the Network and supersede all prior agreements, understandings, negotiations, and discussions.

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may freely assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or infrastructure failures.
